In these Terms and Conditions (the “Conditions”), the following definitions shall apply:
“Company” means Guardian Technics Ltd, a Malta-based aircraft maintenance organisation. “Authority” means Transport Malta Civil Aviation Directorate (TM-CAD), EASA, or any other applicable aviation authority. “Customer” means any person, firm, or body corporate purchasing goods and/or services from the Company. “Goods” means the goods (or any part of them) supplied by the Company. “Services” means the maintenance, repair, inspection, AOG support, or other aviation-related services provided by the Company. “Order” means the Customer’s written acceptance of a quotation or request for Goods and/or Services.
2. General
2.1 An Order constitutes an offer by the Customer to purchase Goods and/or Services subject to these Conditions. 2.2 These Conditions apply to all Contracts entered into by the Company and supersede any other terms. 2.3 Any variation must be agreed in writing by authorised representatives of both parties. 2.4 These Conditions constitute the entire agreement between the parties.
3. Prices
3.1 Prices shall be as set out in the Company’s quotation. 3.2 Prices may be adjusted to reflect increases in costs beyond the Company’s control. 3.3 All prices are exclusive of VAT and applicable taxes unless stated otherwise.
4. Payment Terms
4.1 Payment shall be made by cleared funds in accordance with the invoice. 4.2 Time for payment is of the essence. The Company reserves the right to suspend Services for non-payment. 4.3 Interest may be charged on overdue amounts at the maximum rate permitted by law.
5. Warranty and Liability
5.1 The Company warrants that Services will be performed with reasonable care and skill in accordance with applicable aviation regulations. 5.2 Warranty claims must be notified within 30 days or 15 flying hours, whichever occurs first. 5.3 Liability is limited to direct damages and excludes indirect or consequential loss, to the fullest extent permitted by law.
6. Delivery and Completion
Any quoted completion date is an estimate only. The Company shall not be liable for delays caused by factors beyond its reasonable control.
7. Retention of Title and Lien
Title to Goods remains with the Company until full payment is received. The Company reserves a lien over any aircraft, parts, or materials in its possession until all outstanding sums are paid.
8. Insurance and Indemnity
The Customer shall maintain adequate aircraft and liability insurance. The Company shall maintain appropriate hangar keepers’ and aviation liability insurance as required by law.
9. Governing Law
These Conditions shall be governed by and construed in accordance with the laws of Malta. The courts of Malta shall have exclusive jurisdiction.
